With a focus on general corporate and transactional matters, David E. Surprenant has amassed a wealth of experience in mergers and acquisitions, corporate finance, secured transactions, commercial lending and commercial real estate.
A member of Mirick O’Connell’s Business Group, Surprenant’s representations include facilitating commercial loans on behalf of prominent lenders like Berkshire Bank, Country Bank for Savings, Hometown Bank, M&T Bank, Main Street Bank, Rockland Trust, Santander Bank, TD Bank, UniBank and Webster Five. He has also played crucial roles in negotiating and facilitating significant acquisitions throughout the United States and Canada. His clients include both public and privately owned companies as well as conglomerate entities hailing from Canada, Germany, France and Sweden.
He is involved with numerous charitable organizations, including the Diocese of Worcester, Catholic Charities of the Diocese of Worcester, the United Way of Central Massachusetts and the Worcester Business Development Corporation. He previously served as Chairman of the Town of Sutton Finance Committee and its Charter and By-Law Review Committee.
Surprenant has been recognized in the Best Lawyers in America® since 2001 and as Worcester’s “Lawyer of the Year” in Banking and Finance, Corporate Law and Mergers and Acquisition Law. He holds memberships in the Massachusetts Bar Association and the Worcester County Bar Association.
Surprenant has served on the Mirick O’Connell Management Committee since 1997 and as its Managing Partner since 2002.

- Represented a client in a leveraged buyout consisting of acquisition financing, which included senior indebtedness and mezzanine financing, totaling approximately $48 million from three lending sources secured in part by numerous parcels of improved real estate located in multiple jurisdictions
- Represented various lenders, including Bank of America, Sovereign Bank, Citizens Bank and People's United Bank, in connection with loans to privately held businesses in amounts ranging from $10 million to $50 million
- Represented a French multinational conglomerate and the parent of a major U.S. abrasives and ceramics manufacturer with respect to numerous acquisitions and divestitures throughout the United States
- Represented a closely-held business in a $38 million recapitalization with a private equity firm
- Represented a publicly-held manufacturer of precision tooling in the acquisition of the assets of a California-based company specializing in precision measuring technologies
- Represented a producer and distributor of radio programs in the sale of substantially all of its assets to a publicly-held broadcasting company
- Represented a U.S. biomedical corporation in the acquisition of a Northern Ireland medical device research and manufacturing company
- Represented a German conglomerate involved in the manufacture and distribution of fasteners in multi-state acquisitions of closely held businesses
- Represented a New England division of a national food distribution business in the acquisition of a regional meat distributor and in the negotiation of a $125 million, five-year supply contract
